1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "Distributor", "User") and SlipDesk ("we", "us", "our"), headquartered in Pune, Maharashtra, India. By accessing our platform, utilizing our order desk console, or booking our custom setup package, you agree to comply with and be bound by these Terms.

2. Service Description & Operational Scope

SlipDesk is a frontline Business-to-Business (B2B) Order Management Operating System designed specifically for wholesale FMCG distributors, super-stockists, and grain/grocery merchants. SlipDesk operates as an intake and dispatch layer before your accounting software (e.g. TallyPrime, Busy, Vyapar) to:

• Transcribe and match shorthand WhatsApp orders to catalog SKUs with sub-millisecond local execution.
• Generate client-side WhatsApp confirmation slips (wa.me) and printable delivery challans (A4 / 80mm thermal) with dynamic Bharat UPI QR codes.
• Consolidate daily route dispatches into warehouse vehicle loading manifests and stop-by-stop driver drop sheets.
• Maintain running customer debit/credit balance records and payment reminder messages.

3. Commercial Terms & Subscription Pricing

SlipDesk offers transparent, tiered commercial packages without per-transaction or per-message charges:

Annual Prepay Discount: Customers who opt for annual billing receive 2 months free (pay for 10 months, receive 12 months). 4. Customer Responsibilities & Data Accuracy

As a wholesale distributor using SlipDesk, you are solely responsible for:

• Ensuring the accuracy of product wholesale selling rates, MRPs, and HSN codes entered into the system.
• Verifying the accuracy of your Bharat UPI Virtual Payment Address (VPA) and GSTIN embedded on invoices.
• Securing staff login credentials and managing authorized team access.
• Ensuring that communications sent to retail customers comply with applicable Indian telecommunication and commercial messaging guidelines.

5. Service Availability & Offline Resilience

SlipDesk is engineered with an offline-first resilient architecture. All core functions (order entry, shorthand matching, slip printing, and ledger calculations) execute directly in your browser. We are not liable for business interruptions arising from hardware failures, operating system faults, or third-party telecommunication outages.

6. Intellectual Property & Brand Rights

SlipDesk and its software algorithms (including the deterministic shorthand alias matcher) are the intellectual property of SlipDesk. You are granted a limited, non-exclusive, non-transferable license to access the platform. You retain 100% ownership of your customer directories, custom catalog lists, and billing records.

7. Cancellation & Termination

You may cancel your monthly maintenance subscription at any time via Billing Settings or by contacting WhatsApp support. Upon cancellation, your cloud access will remain active until the end of the current billing period, after which you retain access to all locally stored records and data exports.
